1. Parties

These Terms of Service ("Terms") govern your use of the Vosuba AI desktop application ("Software") provided by Shaking Sheep Studio Limited, a sole proprietorship registered in Hong Kong, SAR ("we," "us," or "our"). By downloading, installing, or using the Software you agree to these Terms.

2. Licence Grant

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, perpetual licence to install and use the version of the Software you have purchased on up to two (2) macOS devices that you own or control.

Free Tier

The Free tier of Vosuba AI is provided at no charge. Outputs generated using the Free tier will include a "Made with Vosuba" watermark on burned video files. You may use Free-tier outputs for personal and commercial purposes subject to these Terms.

Paid Tiers (Creator & Pro)

Upon purchasing a Creator or Pro licence key and successfully activating it, the watermark is removed and additional features are unlocked as described on our pricing page. Your licence key is valid for the major version you purchased. Future major version upgrades may be offered at a discounted renewal price.

Enterprise

Enterprise licences are subject to a separate written agreement between you and Shaking Sheep Studio Limited. Contact contact.vosuba@gmail.com to request a quote.

3. Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the Software, except as expressly permitted by applicable law;
• Redistribute, rent, lease, sublicence, or sell the Software or your licence key to any third party;
• Share your licence key publicly or use it to activate more than the permitted number of devices;
• Use the Software to process content that is unlawful, defamatory, or infringes third-party intellectual property rights;
• Remove or alter any proprietary notices, watermarks (except as unlocked by a valid paid licence), or labels.

4. Licence Activation & Validation

Licence keys are issued by Shaking Sheep Studio Limited via Lemon Squeezy, our merchant of record. Activation requires a one-time internet connection to our validation server. After activation, the Software operates entirely offline.

We reserve the right to deactivate a licence key if we have reasonable grounds to believe it has been used fraudulently or in breach of these Terms.

5. Payment & Refunds

All purchases are processed by Lemon Squeezy, which acts as the merchant of record and handles all applicable sales tax and VAT on our behalf.

Because the Software is delivered digitally and the download link is issued immediately upon payment, we do not offer refunds except where required by the mandatory consumer protection laws of your jurisdiction (for example, the EU Consumer Rights Directive or equivalent). If you believe you are entitled to a statutory refund, please contact contact.vosuba@gmail.com within 14 days of purchase.

6. Privacy & Data

Vosuba AI processes all media files locally on your device. We do not receive, store, or process your video files, audio files, or transcription outputs on our servers.

The limited data we do collect (licence validation status, purchase email, download analytics via Google Analytics) is described in our Cookie & Privacy Policy.

7. Intellectual Property

The Software and all associated intellectual property rights are owned by Shaking Sheep Studio Limited. Nothing in these Terms transfers any ownership of intellectual property to you. Your content remains entirely yours — we claim no rights over any media files you process with the Software.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or compatible with all macOS versions.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Shaking Sheep Studio Limited's total liability to you for any claim arising out of or related to these Terms or the Software shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim. In no event shall we be liable for any indirect, incidental, special, consequential, or exemplary damages.

10. Open-Source Components

Vosuba AI incorporates several open-source libraries including Whisper (MIT), FFmpeg (LGPL), Kokoro TTS (Apache 2.0), pyannote (MIT), and others. Their respective licences remain in full force and are available upon request at contact.vosuba@gmail.com.

11. Updates & Discontinuation

We may release updates, patches, and new versions at our discretion. We are not obligated to provide updates for older major versions. If we discontinue the Software, existing licence holders retain the right to use the last version they activated.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR, without prejudice to any mandatory consumer protection rights you may have under your local law.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Vosuba website. Continued use of the Software after the effective date of any changes constitutes your acceptance of the new Terms.
